São Paulo, April 26, 2019 – JBS, via Seara Alimentos, is moving ahead on an agreement with Adelle Indústria de Alimentos Ltda to acquire a pork processing plant based in Seberi (RS) and its associated integration system. The acquisition, totaling R$ 235,000.00, will be paid as follows: (i) R$ 80.0 million by transfer of Frigorífico Frederico, located in Frederico Westphalen (RS); (ii) R$ 115.0 million in assumption of several of Seller’s debts; and (iii) R$ 40.0 million in cash. This transaction is subject to prior approval from competition regulators in Brazil among other conditions customary in this type of transaction.
The Seberi unit will contribute toward the Company’s processing strategy in the pork and prepared products segment, including ham, sausage and bacon. “The unit, one of Brazil’s most modern facilities, is located in a region well known as a major pork producer”, said Joanita Karoleski, president of Seara.
